These Terms & Conditions ("Agreement") constitute a legally binding agreement between PIXELATED AGENCY ("we", "us", or "our") and the client ("Client") in relation to the use of our design services, website, and associated platforms.
1. Intellectual Property Rights
All materials, content, and designs created as part of our services are the property of Pixelated Agency. Client is granted a non-exclusive, non-transferable license to use the final designs solely for the Client's business purposes. Unauthorized use, reproduction, or distribution of the designs is prohibited without our express written consent.
2. Ownership of Designs
Any design files, source files, or other materials created during the project shall remain the property of Pixelated Agency unless otherwise agreed upon. The Client holds the copyright to the final approved designs, but [Your Company Name] retains the right to display the designs in their portfolio and marketing materials.
3. Client Feedback
Client acknowledges that feedback provided during the design process is crucial. We aim to incorporate Client feedback to meet their design needs effectively. However, we reserve the right to exercise professional judgment to ensure the quality and effectiveness of the final design.
4. Payment and Refunds
Client agrees to pay the agreed-upon fee for the design services. We may require an upfront payment before commencing work. Refund requests will be assessed on a case-by-case basis. In the event of a refund, a cancellation fee may apply. Completed designs will not be released until full payment is received.
5. Confidentiality
We respect Client confidentiality. Any confidential information shared during the project will be treated as such. However, we may share completed designs in our portfolio, excluding any sensitive or confidential information.
6. Limitation of Liability
Client agrees that Pixelated Agency shall not be liable for any direct, indirect, consequential, incidental, or special damages arising from the use of our services. Client agrees to indemnify and hold Pixelated Agency harmless against any claims, costs, or liabilities arising from the use of our designs.
7. Modifications
Pixelated Agency reserves the right to modify or update these Terms & Conditions at any time. Clients will be notified of any significant changes. Continued use of our services after such modifications implies Client's acceptance of the changes.
